Q: What is the planned date that Halyard Health will separate from Kimberly-Clark?

A:
November 1, 2014

Q: Will there be any changes to the order entry and processing systems for Halyard Health? How will this impact supply?

A:
Halyard Health plans to maintain the same order entry, billing and distribution processing capability in use today in order to mitigate potential customer disruption.

Q: How will ordering change for Kimberly-Clark products when Halyard Health spins off? Will orders be combinable as they are today?

A:
  • Halyard Health and Kimberly Clark will be two different suppliers following the transition date and this will likely require some systems changes for our customers to establish two distinct vendor ID’s.
  • We do not anticipate any SKU number changes associated with the transition to Halyard Health.
  • Halyard Health will not accept purchase orders for Kimberly-Clark products such as Scott* Towels and Huggies* Diapers as of the transition date. Those orders will need to be communicated separately to Kimberly-Clark. Similarly Kimberly-Clark will not accept purchase orders for Halyard Health products.
  • Order minimums for free freight will apply to these separate purchase orders, as per their respective Terms and Conditions.

Q: Will any products be discontinued as part of the spin-off?

A:
While we will always manage our portfolio of products to ensure that they meet customer needs, there are no plans to discontinue any products as part of the spin-off transition.

Q: Will there be any changes in pricing or Terms and Conditions for Halyard Health as of the spin-off date?

A:
While specific customer pricing adjustments are a normal part of our day to day business, there are no plans to make pricing or Terms and Conditions changes in association with the spin-off. We will, however, be issuing new Terms and Conditions which will eliminate any references to Kimberly-Clark Consumer and Kimberly-Clark Professional. Please ensure that you review your respective Terms and Conditions, available via our Customer portal, in advance of the transition.

Q: How will current legal documents be handled with Customers? Will new agreements need to be drawn up with Halyard Health name?

A:
Most existing agreements will be assigned to Halyard Health. Generally there will be no need to create or re-do agreements. A review of the existing agreements is in process. Any future agreements established after the transition date will be executed with Halyard Health.

Q: Will there be changes to ordering, receiving, or payment processes?

A:
Halyard Health will continue to accept orders by phone, fax, e-mail, and EDI. We will coordinate with our EDI partners the necessary ID changes prior to the spin off date. Details of any changes to other communication or contact information will be communicated in early August. There will be a change in the remittance address, and this will communicated in early October.

Q: How will open orders and any backorders for products be handled as of the spin-off cutover date?

A:
Any open orders or backordered items for Kimberly-Clark products will be handled by Kimberly-Clark after the spin-off date. All open orders or backordered items for Halyard Health will be transitioned and fulfilled by Halyard Health.

Q: Will there be any changes in key contact phone or fax numbers for Halyard Health?

A:
The phone number at Halyard Health will be 1-844-HALYARD. Halyard Health will maintain the existing 1-800 phone numbers that are in use today through the transition period. Individual personal extensions in the headquarters office in Roswell, GA as well as the current fax numbers will not be transferred once Halyard Health moves into its new headquarters location. Individual personal extensions and current fax numbers will remain the same at our I-Flow office in Irvine, CA. These new phone numbers will be communicated to Customers as soon as they are established. The toll-free contact number for I-Flow will also transition to 1-844-HALYARD.

Q: Will the electronic or physical locations for product complaints or product returns change?

A:
The process will remain the same as it is today. However, phone numbers or electronic addresses may change to reflect the new Halyard Health address (electronic and physical). Any changes to key contact information will be communicated in early August.

Q: Will my sales representative change with the spin-off?

A:
There are no plans to reorganize the sales teams as part of the spin-off transition. Your key sales contacts should remain the same. Key contact changes for other any other reasons such as promotions, etc. will be communicated as is our typical practice.

Q: Will Halyard Health be using the same distribution center network?

A:
There are no anticipated changes to the distribution network as a result of the spin-off.

Q: Will Halyard Health continue to offer Supply Chain Programs?

A:
Yes, the new organization will continue to work with Customers to enhance efficiency and offer Supply Chain savings.

Q: Will Customers have continued access to the portals and tools that Kimberly-Clark has in place?

A:
The online Customer Portal and other tools that Kimberly-Clark Health Care has in place today will continue to be available with Halyard Health. The specific transition plans will be communicated in early August.

Q: What are the plans to re-configure product branding, packaging, and marketing materials for the Halyard Health name?

A:
Customers can expect to see our new name immediately in advertising and communications but packaging changes will transition more slowly as some products will display our new name and logo shortly after spin while others could take at least 18 months to transition. We will maintain some of our well-known brands such as ON-Q* and MIC-KEY* in order to maintain continuity with our Customers. In these situations packaging will continue to use these brand names and will only be changed to reflect the company’s new name. Product sheets highlighting the changed packaging will be available to our end users and distribution partners to share with both clinicians and operations personnel.
